Design-JR Commercial Terms & Conditions

These Terms and Conditions apply to all commercial contracts for the supply of made-to-measure curtains, blinds, tracks, soft furnishings, associated products and related services provided by Design-JR to businesses, schools, academies, councils, organisations, property managers and other non-consumer clients.

Any specific terms agreed in writing within a quotation shall take precedence over these Terms and Conditions.

  1. Definitions

Client – the organisation purchasing goods and/or services
Design-JR / We / Us – Design-JR (sole trader)
Goods – curtains, blinds, tracks, soft furnishings or other products supplied
Services – measuring, design, manufacture, delivery, installation, consultation
Contract – formed when the Client accepts a quotation in writing (email acceptance is sufficient)

  1. Quotations & Acceptance

2.1 All quotations are valid for 30 days unless stated otherwise.
2.2 Prices are based on the scope of work described in the quotation. Any change to specification, quantities, access or programme may require a revised quotation.
2.3 A contract is formed only when the Client accepts the quotation in writing.
2.4 Quotations assume normal site conditions, safe access and suitability of fixing surfaces unless otherwise stated.

  1. Lead Times

3.1 Lead times are estimates only and typically range between 2–8 weeks depending on product type, fabric availability and production schedules.
3.2 Lead times may be affected by supplier delays or circumstances outside our control.
3.3 Design-JR shall not be liable for delays caused by manufacturers, couriers, site access issues or force majeure events.

  1. Payment Terms

4.1 Payment terms are as stated on the quotation.
4.2 For bespoke projects, staged payments (deposit and final balance) usually apply.
4.3 Production will not commence until the initial payment has been received.
4.4 Final balances must be paid within the timeframe stated on the quotation.
4.5 Late payments may be subject to statutory interest and recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998.

  1. Ownership of Goods

5.1 Ownership of goods remains with Design-JR until full payment has been received in cleared funds.
5.2 Goods may be installed prior to final payment; however, ownership does not transfer until full settlement.
5.3 Design-JR reserves the right to recover unpaid goods where lawful and reasonable.

  1. Bespoke & Made-to-Measure Goods

6.1 All bespoke, made-to-measure or made-to-order products are non-refundable once production has commenced.
6.2 The Client is responsible for approving all specifications before production.
6.3 Design-JR cannot accept responsibility for dissatisfaction resulting from client-approved choices (e.g. colour, fabric, style, layout).

  1. Measuring

7.1 Where Design-JR undertakes site measuring, measurements are taken with reasonable care.
7.2 Where the Client supplies measurements, Design-JR cannot accept responsibility for errors arising from inaccurate client-supplied dimensions.
7.3 Measurements supplied by Design-JR remain the intellectual property of Design-JR and are not provided for third-party use unless agreed.

  1. Installation, Access & Site Conditions

8.1 Installation prices assume:

  • Clear and safe access
  • Suitable fixing surfaces
  • No ongoing building works
  • Site readiness on the agreed date

8.2 The Client is responsible for ensuring the site is safe and accessible.
8.3 If additional visits are required due to access issues, obstructions, unfinished works or unsuitable conditions, additional charges may apply.

  1. Working at Height & Specialist Access

9.1 Some installations require ladders, towers or specialist access due to ceiling height or architectural constraints.
9.2 Where high-level work is identified at quotation stage, this will be reflected in the price.
9.3 Where unforeseen access challenges arise, Design-JR reserves the right to charge additional costs for extra labour, equipment hire or additional visits.
9.4 The Client must provide any necessary permits, inductions or site supervision required.

  1. Delivery & Risk

10.1 Risk in the goods passes to the Client upon delivery to site.
10.2 Delivery dates are approximate and not guaranteed.
10.3 Design-JR is not responsible for delays caused by couriers, suppliers or site restrictions.

  1. Defects & Snagging

11.1 The Client must inspect goods promptly following delivery or installation.
11.2 Any defects must be reported within 5 working days.
11.3 Design-JR reserves the right to repair, replace or rectify defects as appropriate.
11.4 This does not affect statutory rights where applicable.

  1. Cancellations

12.1 Orders for bespoke goods cannot be cancelled once production has commenced.
12.2 If cancellation occurs prior to production, Design-JR reserves the right to recover reasonable costs incurred.

  1. Liability

13.1 Design-JR holds Public Liability Insurance appropriate to the business.
13.2 Design-JR shall not be liable for indirect or consequential losses including loss of revenue, operational disruption or reputational damage.
13.3 Liability for any claim shall not exceed the value of the contract, except where prohibited by law.
13.4 Design-JR is not responsible for defects caused by:

  • Client-supplied specifications
  • Poor site conditions
  • Misuse
  • Alterations by third parties
  • Normal wear and tear
  1. Force Majeure

Design-JR shall not be liable for failure to perform obligations due to events beyond reasonable control including supplier failure, transport disruption, extreme weather, illness, or other unforeseen circumstances.

  1. 5-Year Product Guarantee

15.1 Design-JR provides a 5-year guarantee on made-to-measure products covering manufacturing faults.
15.2 Exclusions include:

  • Normal wear and tear
  • Fabric fading
  • Accidental damage
  • Misuse
  • Improper cleaning
  • Alterations by third parties
  • Environmental damage

15.3 Labour, removal and refitting costs are covered during the first 12 months only. After this period, such costs are chargeable.

  1. Governing Law

These Terms are governed by the laws of England and Wales and subject to the jurisdiction of English courts.

  1. Acceptance

Acceptance of a quotation constitutes acceptance of these Terms and Conditions.

  1. Supply-Only Orders & Client Installation

18.1 Where goods are supplied on a supply-only basis and installation is carried out by the Client or by a third party appointed by the Client, Design-JR shall not be responsible for:

  • Incorrect installation
  • Unsuitable fixings or methods of fixing
  • Damage caused during installation
  • Failure of fixings
  • Final appearance once installed
  • Site conditions or substrate quality
  • Compliance issues arising from incorrect installation

18.2 Where measurements are provided by the Client or by a third party, Design-JR accepts no responsibility for incorrect sizing, fit, or suitability of the finished goods.

18.3 In supply-only projects, Design-JR’s responsibility is limited to ensuring that the goods are manufactured in accordance with the approved specification and are free from manufacturing defects.

18.4 Risk in the goods transfers to the Client upon delivery. Design-JR is not responsible for loss or damage occurring after delivery, including during storage, handling, or installation by others.

18.5 Any claim for defect in supply-only goods must relate solely to manufacturing faults and must be notified in writing within 5 working days of receipt.

18.6 Design-JR shall not be liable for any costs incurred by the Client in connection with removal, reinstallation, access equipment, or third-party labour in relation to supply-only goods.
